Terms of Use

Version 2026-10-28a · Effective 28 October 2026

1. Who these terms are between

These Terms of Use (“Terms”) govern your access to and use of the Lend2Friend website, application, and related interfaces (together, the “Platform”).

Lend2Friend provides the brand, the screen, and the matching software. It does not hold an authorisation as a crowdfunding service provider in its own name, does not decide credit in its own name, and never holds your money.

The crowdfunding service is provided by Partner Firm, S.L. (the “Firm”), a proveedor de servicios de financiación participativa authorised under Regulation (EU) 2020/1503 and applicable Spanish law. Payment, safeguarding of funds before they become a loan, identity checks hosted for payments, and movement of euros are arranged through Payment Firm, S.L. (the “Payment Firm”) on the Firm’s rails. Any account, IBAN, or mandate you see in the product sits with the Firm and/or the Payment Firm — not with Lend2Friend.

By creating an account or using the Platform, you agree to these Terms with Lend2Friend for the software and interface, and you understand that your crowdfunding relationship (including offers, loans, complaints about the crowdfunding service, and investor protections required by law) is with the Firm under the Firm’s own terms, key investment information sheets, and policies. Where there is a conflict on a matter reserved to the Firm’s authorisation, the Firm’s documents prevail for that matter.

2. Eligibility, age, and capacity

By accepting these Terms you confirm that you are at least eighteen (18) years of age, that you have full legal capacity to enter into binding contracts under the law of Spain, and that you are acting on your own behalf — or, if you open a borrower account, with authority to bind the business named in your application.

You must provide accurate, complete, and current information and keep it updated. You are responsible for safeguarding your login credentials.

We and the Firm may refuse, suspend, or close an account where required by law, by the Firm’s policies, by payment-rail rules, or where we reasonably suspect fraud, abuse, sanctions exposure, money-laundering risk, or breach of these Terms.

Lenders and borrowers complete further onboarding (identity, IBAN, knowledge test and loss simulation for lenders, credit file for borrowers) before money can move. Creating an account alone does not entitle you to lend or borrow.

3. Residence and bank account

Accounts are opened for residents of Spain. By accepting these Terms you confirm that you are a resident of Spain, and that you will use a Spanish IBAN where a bank account is required for lending, borrowing, payouts, or direct debit.

Borrowers on the Platform are autónomos and companies borrowing for a business purpose. Consumer (personal) borrowing is not offered under this crowdfunding service.

4. Money, payments, and no client money with the Platform

Lend2Friend does not hold client money. You will never be asked to pay loan principal into an account controlled by Lend2Friend. Funding, safeguarding before allocation, disbursement to businesses, collection of instalments, and payouts to lenders are executed by the Payment Firm for the Firm.

Payment references, virtual IBANs, mandates, and statuses shown in the Platform are a copy of the Firm’s and Payment Firm’s records. The Payment Firm’s and Firm’s records prevail if there is a discrepancy. A break between those records and the Platform copy is treated as an operational incident for the Firm.

Direct debit and bank transfers take banking time and can fail or be returned unpaid. An instalment is not paid until the Payment Firm confirms collection under the Firm’s process.

5. Not a bank deposit or guaranteed savings product

Money you put toward crowdfunding loans is not a bank deposit, is not a payment-account balance you can treat as savings, and is not covered by the Fondo de Garantía de Depósitos de Entidades de Crédito (FGDEC) or any similar deposit-guarantee scheme.

Safeguarding by the Payment Firm, where it applies, protects funds while they are still payment funds — not once they have been lent. The Firm and Lend2Friend do not guarantee return of capital or any rate of return.

6. Matching, mandates, and firm rules

The Platform may match lender and borrower orders according to rules the Firm has approved (including rate bands, terms, and credit outcomes). Where the Firm’s authorisation includes individual portfolio management of loans, allocation may proceed under a standing mandate; otherwise the Firm may require confirmation of each match.

The Firm owns credit decisions, pricing policy, and the response to complaints about the crowdfunding service. How Lend2Friend may invite a commitment of funds is set in the Firm’s operating agreement with Lend2Friend. Lend2Friend prepares files and applies those rules; it does not approve credit in its own name.

A fee or spread charged by the Firm (for example a fixed yearly gap between what the borrower pays and what the lender receives) is the Firm’s fee, disclosed on the loan materials. Lend2Friend invoices the Firm for software and related services; it does not take client money as its fee.

7. If you lend (investors)

As a lender you understand that crowdfunding loans carry a risk of partial or total loss of capital, delayed or missed repayments, and no obligation on the Firm or Lend2Friend to step in with their own money. Past performance is not a guide. You should not lend money you cannot afford to lose.

Before you can lend, the Firm will require an entry knowledge test and a simulation of your ability to bear loss. A weak result does not always block you, but you will be warned — including that you may lose all of the money — and you must acknowledge that warning. Larger amounts may require further consent under Article 21 of Regulation (EU) 2020/1503. Completing Platform signup is not a substitute for those steps.

Regulatory protections for non-sophisticated investors (knowledge test, loss-bearing simulation, risk warnings, reflection or revocation rights where they apply, and Article 21 consent) are administered for the Firm.

8. If you borrow (businesses)

As a borrower you confirm that any amount you ask for through the Platform will be for the trade, profession, or company named in your application — an autónomo or a company borrowing for the business — and not for personal, household, or consumer purposes. Consumer lending is outside this crowdfunding service.

Borrowing creates a legal obligation to repay according to the loan schedule and the Firm’s arrears process. Missed payments may be visible to the lender and the Firm and may affect future access.

The Firm’s credit desk may refuse any file. Providing false information may lead to refusal, termination, and reporting where the law requires.

9. Electronic communications

By accepting these Terms you agree that the Firm and Lend2Friend may provide contractual information, risk warnings, account notices, and other required communications electronically — including in the Platform and by email to the address you register — and that such communications satisfy any requirement for writing unless mandatory law requires another form.

10. Acceptable use

You must not misuse the Platform: no unlawful purpose, no circumvention of residence or business-purpose limits, no false identity or credit information, no interference with security or payment rails, no scraping or automated abuse without our written consent, and no attempt to treat Lend2Friend as holder of your funds.

We may remove content, freeze matching, or stop payment instructions on the Firm’s or Payment Firm’s direction, including where a payment key is revoked or rails are stopped for operational or security reasons.

11. Intellectual property

The Platform’s software, design, trademarks, and content (excluding your own data and the Firm’s regulated documents) are owned by Lend2Friend or its licensors. You receive a limited, revocable, non-exclusive licence to use the Platform as permitted by these Terms. You may not copy, modify, reverse engineer (except to the extent mandatory law allows), or resell the Platform.

12. Personal data

Processing of personal data is described in the Privacy Notice. Controllers and processors may include Lend2Friend, the Firm, and the Payment Firm, each for their respective purposes. Accepting these Terms includes confirming that you have read that Privacy Notice.

13. Liability and disclaimers

The Platform is provided on an “as available” basis. We do not warrant uninterrupted or error-free operation. We are not responsible for banking delays, Payment Firm outages, or decisions the Firm takes under its authorisation.

To the fullest extent permitted by mandatory Spanish and EU consumer and investor-protection law, Lend2Friend’s aggregate liability arising out of the Platform software and interface is limited to the greater of (a) fees you have paid directly to Lend2Friend in the twelve months before the claim (often zero in this model) and (b) one hundred euros (€100). This cap does not limit liability that cannot be excluded by law (including death or personal injury caused by negligence, fraud, or wilful misconduct).

Nothing in these Terms excludes rights you have against the Firm under crowdfunding or financial-services law, or against the Payment Firm under payment-services law.

14. Suspension, termination, and exit

You may request closure of your Platform account when no open orders, live loans, pending payouts, or collecting instalments remain, subject to legal retention duties.

We or the Firm may suspend or terminate access for breach, legal requirement, end of service on this channel, or revocation of the Firm’s permission for this channel. Live loans remain with the Firm and the Payment Firm for servicing under the Firm’s continuity arrangements; Lend2Friend does not keep client money on exit.

15. Governing law and disputes

These Terms are governed by the laws of Spain. Courts of Spain have jurisdiction, without prejudice to mandatory protections for consumers or investors that cannot be waived, and without prejudice to complaint rights to the Firm and, where applicable, to the CNMV or other competent authorities regarding the crowdfunding service.

Complaints about the crowdfunding service, credit decisions, or investor information should be directed to Partner Firm under its complaints policy. Complaints about the Platform software may be sent to Lend2Friend using the contact published on the Platform.

16. Changes

We may update these Terms. Material changes will be notified in the Platform or by email. Continued use after the effective date of a new version, or a fresh acceptance where we ask for one, constitutes agreement to the updated Terms. The version identifier (2026-10-28a) appears when you accept these Terms at signup.

17. Acceptance

By ticking “I have read and accept the Terms of Use” when you create an account, you confirm that you have read this entire document (version 2026-10-28a), that you understand the points above — including the roles of Lend2Friend, the Firm, and the Payment Firm; residence and bank-account requirements; eligibility; that this is not a deposit; lender capital-at-risk and borrower business-purpose rules; and electronic communications — and that you agree to be bound by these Terms.
